Terms of Service

1. The Service

Platoya provides a software-as-a-service platform that helps organizations assess, document, and manage their AI-governance and regulatory-compliance posture. Features include readiness assessments, policy document management with version history, task tracking, and related tools, offered across tiered subscription plans. We may add, modify, or remove features over time.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate account information and to keep it up to date. Notify us promptly at PlatoyaOfficial@gmail.com of any unauthorized use of your account.

3. Subscriptions, billing, and our payment processor

Paid plans are billed on a recurring subscription basis (monthly) at the prices shown on our pricing page. Prices are stated in US dollars unless otherwise indicated.

Our order process and payments are conducted by our online reseller Paddle.com, which is the Merchant of Record for all orders. Paddle handles payment processing, billing, and the collection of applicable taxes, and provides customer service for billing enquiries. When you purchase a subscription, your contract for the paid product is with Paddle, and Paddle's buyer terms also apply to that transaction.

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You authorize Paddle to charge your payment method on each renewal until you cancel.

4. Cancellation

You may cancel your subscription at any time from your account billing settings or by contacting us. When you cancel, your plan remains active until the end of the current paid billing period, after which it will not renew and your access to paid features will end. Cancellation does not, by itself, trigger a refund except as set out in our Refund Policy.

5. Free plan and plan limits

We may offer a free tier and paid tiers with different feature limits (for example, caps on the number of tools or open tasks). We enforce these limits and may adjust them with reasonable notice. Attempting to circumvent plan limits is a breach of these Terms.

6. Acceptable use

You agree not to: (a) use the Service for any unlawful purpose or in violation of any applicable regulation; (b) attempt to gain unauthorized access to the Service, other accounts, or our systems; (c) reverse engineer, decompile, or attempt to extract source code except to the extent permitted by law; (d) resell, sublicense, or provide the Service to third parties except as expressly permitted; or (e) upload malicious code or interfere with the integrity or performance of the Service.

7. Your content and data

You retain ownership of the data and documents you submit to the Service ("Your Content"). You grant us a limited licence to host, process, and display Your Content solely to provide and improve the Service. You are responsible for ensuring you have the rights to submit Your Content and that it does not violate any law or third-party right. Our handling of personal data is described in our Privacy Policy.

8. AI features and no professional advice

The Service includes AI-assisted features and generates assessments, recommendations, and documents. Platoya does not provide legal, regulatory, or professional compliance advice. Outputs are provided for informational purposes to support your own decision-making and should not be relied on as a substitute for advice from a qualified professional. You are solely responsible for your compliance decisions and outcomes.

9. Third-party AI provider keys (BYOK)

Certain features allow you to connect your own third-party AI provider key ("BYOK"). You are responsible for your use of those third-party services and for any fees they charge. Your provider keys are encrypted at rest. We are not responsible for the availability, accuracy, or acts of third-party AI providers.

10. Intellectual property

The Service, including its software, design, and content (excluding Your Content), is owned by Platoya and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription in accordance with these Terms.

11. Availability and changes

We aim to keep the Service available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service, and we may update these Terms from time to time. Material changes will be communicated by reasonable means; continued use after changes take effect constitutes acceptance.

12. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

13. Limitation of liability

To the maximum extent permitted by law, Platoya will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amount you paid to us (via Paddle) in the twelve months preceding the event giving rise to the claim.

14. Termination

We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to us or others. On termination, your right to use the Service ends. Sections that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will survive.

15. Governing law

These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-laws principles, and subject to any mandatory consumer-protection rights available to you in your country of residence.
